Changing a company’s name and its legal consequences

Question

I am a majority shareholder and director of a private company.. Recently, we rebranded the company and changed its name to better reflect our expanded services and modern identity. The ownership, management and operations of the company remain the same, only the name has been changed. We have several ongoing contracts with clients, suppliers and service providers that were signed under the old name. Some parties are worried that invoices issued under the new name may not align with the previous agreements and a few have even suggested signing new contracts. We also have bank accounts, pending payments and a legal claim filed under the old name. My question is: does changing the name of a private limited company affect the validity of its existing contracts and liabilities? Do we need to sign fresh agreements or are there steps we should take to avoid future problems?

Answer

Dear Mr Ahmed, thank you for your query. Regarding your first question, please rest assured that changing your company’s name will neither affect its legal identity nor the validity of its contracts and obligations under the Companies Act 1994 of Bangladesh.  Company laws recognise a company as an independent ‘legal entity’ and a change of name does not create a new company or automatically terminate the existing contracts. Once the change is registered with the Registrar of Joint Stock Companies and Firms (RJSC) and a new certificate of incorporation is issued, the company continues to exist as the same legal person/entity with the same rights, responsibilities, and history. As a result, contracts executed under the old name remain valid and enforceable.

It also should be mentioned here that the Road Transport Act 2018 was enacted to curb incessant road accidents in Bangladesh. Thought as a complement to the Penal Code 1860, the law has not been successful in making the roads safer despite its enactment way in 2018, due to its weak enforcement.

Similarly, a change in company’s name does not affect ongoing legal proceedings. However, the court records can be updated to reflect the new name. The same principle applies to bank agreements, guarantees, employment contracts, and other continuing obligations. The legal identity of the company remains intact despite the change in branding. Therefore, any debts, bank facilities or ongoing legal proceedings continue without interruption.

Lastly, from a legal perspective, there is generally no requirement to execute fresh agreements solely because of a change in name. Contracts remain binding unless a specific agreement expressly requires notice, consent or amendment in such circumstances. The focus should, therefore, be on communication and proper record keeping rather than renegotiating arrangements that are already valid. Where a client or supplier requests written confirmation, a short addendum or notification letter acknowledging the name change can be provided for comfort, but this is usually a matter of good practice rather than legal necessity.

In reality, concerns from clients, suppliers or business partners following a name change are quite common. To avoid unnecessary confusion, it is advisable to formally notify all relevant parties of the name change and provide a copy of the updated certificate of incorporation. Updating records is another very important practical step that should not be overlooked. Bank accounts, tax registrations, trade licences, invoices, letterheads, websites and other official documents should be amended to reflect the new name as soon as possible.

To summarise, your contracts remain valid, your rights and liabilities continue, and the company’s legal identity has not changed. That said, clear communication and proper documentation are the key steps to ensuring a smooth transition.
